Inter-Source Subscription Agreement

1. Services Provided
Inter-Source provides an inventory tracking, financial reporting, and delivery tracking SaaS solutions for garden centers.
2. Subscription Term and Renewal
The subscription is for a one (1) year term, commencing on the date of payment.
Unless cancelled by the Customer with at least thirty (30) days' written notice prior to the end of the then-current term, the subscription will automatically renew for successive one (1) year terms.

3. Payment Terms
- Subscription fees are billed monthly in advance, or annually in advance at a discounted rate if selected.
- Fees, billing details, and applicable discounts are specified in the Order Form.
- All payments are non-refundable except as required by law.
4. User Responsibility and Data Accuracy
The accuracy, integrity, and legality of all data inputted into the Inter-Source platform remain solely the responsibility of the Customer.
Inter-Source does not warrant or guarantee the correctness or completeness of any data, as all information is subject to user inputs.
5. Intellectual Property
All intellectual property rights to the Inter-Source platform, software, and associated documentation remain the property of InterSource Technologies Inc. The Customer is granted a limited, non-exclusive, non-transferable right to access and use the services during the subscription term.
No rights are granted to the Customer other than as expressly set forth herein.
6. Limitation of Liability
To the maximum extent permitted by law, Intersource Technologies Inc's total liability to the Customer for any cause whatsoever will not exceed the fees paid by the Customer in the twelve (12) months preceding the claim.
In no event will Intersource Technologies Inc. be liable for any indirect, incidental, special, or consequential damages, or loss of data, profits, or use, even if advised of the possibility of such damages.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public information received in connection with this Agreement, except as required by law.
8. Termination
Either party may terminate this Agreement in the event of a material breach by the other party, provided written notice is given and the breach is not cured within thirty (30) days.
Upon termination, Customer’s access to the Inter-Source platform will be deactivated and data handled per Section 11.
9. Data Security and Privacy
Inter-Source will implement reasonable security measures in compliance with Ontario law and PIPEDA. Further data handling details are provided in the Privacy Policy.
10. User Conduct and Permitted Use
Users must comply with all applicable laws, refrain from any misuse, unauthorized access, or attempts to reverse-engineer the platform.
11. Customer Data Ownership and Deletion
Customer retains ownership of any data uploaded to the Inter-Source system by the customer.
On written request within thirty (30) days following termination, a copy of Customer data will be provided. Thereafter, data may be permanently deleted unless otherwise required by law.
12. Listings and Marketplace Clause
The listing of items or inventory to the Inter-Source marketplace is at the sole discretion of the user.
All marketplace activities are governed by the separate Marketplace Terms, which users must reference for more information.
13. Amendments
Intersource Technologies Inc. reserves the right to modify these terms with thirty (30) days' written notice sent to the Customer’s administrative contact. Continued use of the Service constitutes acceptance of the new terms.
14. Governing Law
This Agreement is governed by the laws of the Province of Ontario, Canada.
